In this Agreement, the party who is contracting to receive the services shall be referred to as the “Client” or “Entrepreneur” and the party who will be providing the services shall be referred to as the “Virtual Assistant” and the company managing the relationship shall be referred to as “Service Provider”.

This work for Hire Agreement (“Agreement”) is made between Hera Hub and __________ (Entrepreneur).

1. SCOPE OF SERVICES: Beginning on ______________(date), the contracted Virtual Assistant will provide support services to the Entrepreneur

2. SERVICE LOCATION: The Service to be provided under this Agreement shall be performed remotely, primarily in the Philippines.

3. The Entrepreneur agrees to pay Hera Hub a monthly management fee for program 4 (as detailed at www.HeraHub.com/Assistant) for a period of 6 months from the start date. Thereafter, the agreement will continue month to month until either party provides a 30-day notice.

4. SCHEDULE AND DAYS OFF: The VA is generally available 5 days a week, Monday-Friday. Two weeks paid vacation per year shall be granted, provided the VA can check in every couple days to make sure nothing is urgent. This time will be negotiated between the Entrepreneur and the Virtual Assistant. Do you have a general time-frame you would like the VA to be available for interface?

5. PAYMENT FOR SERVICES: Client will pay compensation to Hera Hub (will auto debit credit card on file) on the first of the month for that month’s service. Hera Hub will pay VA directly.

6. TERMINATION: After the initial six month term, either party may terminate this agreement upon 30 days written notice to the other party. However, either party may terminate the Agreement immediately without prior notice in the event of a breach of this Agreement by the other party. Upon Termination, Service Provider shall invoice Client for any payment due, and payment will be due immediately upon receipt. If Entrepreneur finds the VA is not following through on the assigned tasks and the situation cannot be remedied with three attempts (within a 14-day period) Hera Hub will match the Entrepreneur with one new Virtual Assistant. If for some reason the second match is not a fit then Hera Hub will release the Entrepreneur from the agreement. No refunds will be given.

7. NON-DISCLOSURE AND NON-SOLICITATION: Service Provider and the Virtual Assistant shall not directly or indirectly disclose to any person other than a representative of Client at any time either during the term of this Agreement or following the termination or expiration thereof, any confidential or proprietary information pertaining to Client, including but not limited to customer lists, contacts, financial data, sales data, supply sources, business opportunities for new or developing business, plans and models, or trade secrets.

8. WORK PRODUCT OWNERSHIP: Any works copyrighted, ideas, discoveries, inventions, patents, products, or other information (collectively, the “Work Product”) developed by the Virtual Assistant in connection with the Services shall be the exclusive property of the Client.

9. LIABILITY: Service Provider and Virtual Assistant will not be liable for loss, damage or delay of Client’s project due to circumstances beyond Virtual Assistant’s control. Such circumstances may include (but are not limited to) acts of God, public unrest, power outages, and inability to contact Client. In the event of such loss, damage or delay, Virtual Assistant will make every effort to notify Client immediately.
